A free gift is not a free pass through procurement

Separate a Sofia employee award from a client import. Route payroll, invoice, privacy and customs decisions to the people who can document them.

A scarf given to a Sofia employee and a carton of cups sent to a Bulgarian client might cost the same. They should not travel through the same approval chain. The first decision belongs to the employer that can explain the award; the second starts with a named receiving organization and somebody prepared to act as importer. Neither the unit price nor the label on a purchase order tells you who that is.

A carved lynx leans over a boxed scarf beside a shipping carton of ceramic cups in a sunlit Sofia workshop.
One scarf for an employee, one carton for a client workshop: the receiving relationship and the shipping route determine which questions to ask before dispatch.

Start with the relationship, not the item

A by VVA and KPMG records, in its Bulgaria section and historical account of rules associated with 2020, representation and entertainment expenses separately from social benefits to employees. The report's legal notice says it reflects the authors' views; it is not a binding Commission interpretation or evidence of the law in force in 2026. Use that dated distinction only to frame the first interview: record who pays, who employs the recipient, why the gift is offered, and whether it can be exchanged for cash or another benefit. A qualified Bulgarian tax or payroll adviser must assess those facts under the rules applicable on the award date. Do not infer a rate, exemption, deduction or gift ruling from this report.

The explains the distinction between basic EU invoicing rules and national rules in certain areas. An invoice proves what the supplier billed. It does not, by itself, establish the buyer's entitlement to recover tax on a particular gift. Give the Bulgarian accountant the invoice recipient, supply route and intended use, not just a scan of the total.

Four decisions that look like one approval

Start the file with a sentence that a stranger could test. “The Bulgarian employing company will buy scarves from a Sofia supplier for an anniversary cohort; employees may decline; the local office will distribute them.” That sentence gives payroll a relationship to examine and purchasing a delivery route to price. “Global appreciation, budget approved” gives neither. If there are contractors, former staff or employees of a staffing agency on the list, separate them before anyone asks for addresses. The department that recognizes their contribution may not be their employer.

Use the following decision table at the point where a buyer would otherwise click order. Each answer releases one specific activity. Nobody should have to certify the whole program outside their competence.

QuestionWho answersEvidence that changes the decision
Can this employee receive this form of award?Bulgarian employer and payroll adviserEligibility rule, award terms, dated treatment and recording event
Can this client accept it now?Account owner and recipient organization’s authorized contactPurpose, timing, acceptance policy and any restrictions
May the address reach the carrier?Privacy owner for the entity sharing itPurpose, recipient notice, permitted fields and deletion arrangement
Can the goods be tendered to the carrier?Named importer with its customs representativeAgreed item descriptions, origin evidence, valuation basis and receiving party

Keep the answers together, but do not let them substitute for each other. Procurement can reserve an undecorated item while payroll considers the award. It should not engrave a name or release a home delivery list merely because the stock is reserved. Conversely, a favorable payroll opinion does not make it sensible to send a fragile ceramic item through a route the carrier will not insure. For every provisional approval, write down both the next permitted action and the action still on hold. That small distinction makes a useful pilot possible without quietly committing to the full purchase.

Hypothetical case: a milestone scarf in Sofia

A US parent wants to recognize its Bulgarian affiliate's employees on their fifth anniversary. A manager suggests a uniform allowance so that people working remotely are not left out of a ceremony. Before pricing anything, ask what “allowance” means. An invitation to select a scarf from three colors, a code redeemable for different merchandise, and a cash payment through payroll produce different facts. If the local employer approved a particular item, a supplier's broad catalog is not an equivalent substitute. Do not pass the change off as a shipping convenience.

Give the employer a short case file: the milestone rule, the list of qualifying employment relationships, what happens if somebody declines, who funds the item and who gets billed for freight. Send a sample invitation so the adviser can see what is actually offered. Ask the employer's payroll owner to record whether any entry is needed, at what event, on what value, and what to do with an unclaimed award. A useful answer identifies the version reviewed and the person who will operate the decision. A forwarded message saying only “standard benefit” is not an answer to those questions.

There are two sensible fulfillment routes. Office pickup keeps home addresses outside the shipping process and lets staff check the goods in one batch. It can exclude someone whose travel to the office would cost more than the gift is worth. Home delivery is more inclusive, but involves another organization and a failure path for undeliverable parcels. Offer pickup as a real choice only if the office has an owner, a pickup period and a plan for unclaimed stock. If home delivery is not yet cleared, tell remote recipients when a private choice will be offered instead of asking their supervisor to collect addresses in a shared sheet.

Now imagine the local supplier runs out of the selected scarf after half the invitations have gone out. It offers vouchers for the remainder. The easy operational answer is to change a product code. The correct buying decision is to hold the affected invitations and return the new facts to payroll. Meanwhile the original scarf orders can proceed if their clearance remains valid. Record which recipients saw which offer without copying private addresses into the finance file. Once the supplier confirms the replacement terms, issue a new invitation only to the affected group. An unused voucher and a returned scarf are different outcomes; the reconciliation should not turn them both into “delivered.”

At close, compare the employer's approved cohort with invitations, accepted orders, distributed items, returned parcels and remaining goods. If an employee declined, keep a decline as an outcome rather than manufacturing a delivery event to balance the spreadsheet. Finance needs the cost of goods and services actually invoiced; payroll needs the event its adviser specified. Neither needs a home address to verify that the two counts differ. Resolve the difference with an order reference and a reason, then send each owner the minimum evidence relevant to that owner's decision.

Hypothetical case: a client kit crossing the external border

A US sales team plans to send a Sofia distributor a carton of notebooks and ceramic cups before a product workshop. The distributor's contact says the team would enjoy them. That is a courteous response, not necessarily authorization for an individual to accept gifts or for the distributor to act as importer. Ask two separate questions: who may accept the goods under the recipient's policy, and which entity is willing and able to take responsibility for entry and unexpected charges? A yes to the first and silence on the second is a reason to pause at the warehouse.

Have the supplier identify the actual goods. “Marketing samples” describes a purpose rather than the contents. For a cup, ask about material, intended use, country of manufacture and quantity. For a notebook, ask about its cover, binding and whether anything else is packed inside. A replacement item with a battery is not a harmless color substitution. Get the revised specification and ask the broker whether the earlier classification or supporting documents still apply. The buyer's job is to supply accurate descriptions, not to select the most attractive tariff code.

The Commission's separates classification, value and origin. It describes transaction value as the primary valuation method and explains that other methods may apply where it cannot be used. That is why a client price of zero is not an instruction to declare a value of zero. Nor is the internal chargeback necessarily the right customs value. Show the broker the supplier invoice, any separate decoration charges and the shipping arrangement. Ask for the basis used for this shipment and keep the answer with the exact item list. Do not fill a blank in a customs form with a retail estimate simply to print a label.

Compare that route with buying equivalent goods from a Sofia supplier that already holds the items locally. The local option can remove this particular cross-border movement from the sponsor's project. It does not establish the goods' origin, determine whether the local invoice is recoverable, or override the client's gift policy. Ask the supplier whether “available in Bulgaria” means stock in a Bulgarian warehouse or stock that will be imported only after the order. The latter is a different route with a different owner, even when the quote is in the local customer's name.

Suppose the distributor will accept the items for communal use at the workshop but will not receive a personal gift for the purchasing director. Revise the delivery instruction and the purpose record accordingly. Do not send the same carton to the director's home or split it into smaller parcels to evade the decision. If no one accepts importer responsibility by the tender deadline, release the reserved freight capacity and price the local alternative. The right evidence of recovery is the held shipment reference, the accepted replacement order and an explanation of any cost difference, not an undocumented swap after dispatch.

Collect an address only when somebody can use it

The Commission's distinguish deciding a purpose from collecting the data necessary for that purpose. Work backwards from the courier's actual delivery requirements. A team approving scarf designs does not need a home address. A person investigating a disputed invoice usually needs an order reference, not a telephone number. If a carrier requests a contact number, identify the delivery purpose and the permitted recipients before the field appears on an invitation. Do not reuse that number for sales follow-up because another team finds it convenient.

For a Bulgaria-specific point of reference, the lists Bulgaria's Commission for Personal Data Protection. A directory identifies the authority; it does not approve a vendor or settle the legal basis for using an employee's home address. The workflow here draws on official administrative guidance reviewed in early November 2026, not a ruling on the particular employer. Give local counsel the countries of access, actual service terms and recipient notice when requesting a decision.

Design two records. The operational record connects a shipment reference to the minimum delivery details with restricted access. A separate control record connects that reference to the award decision, the billed amount and the fulfillment outcome. Finance can reconcile the latter without circulating the former. This arrangement is a procurement recommendation, not a declaration that any particular legal basis applies. The local privacy owner should determine who controls the processing, how to inform recipients, what vendors may do with the information, what cross-border access exists, and how requests or errors reach an accountable person.

Test the design with an address correction. A remote employee changes an apartment number after the supplier has created a label. Sending the new number to the carrier alone leaves an old copy in the supplier's queue, while editing the original spreadsheet alone may leave a live label unchanged. Require the dispatch owner to confirm whether the parcel has been tendered, retire the obsolete label where possible, provide the new details through the approved channel and record only the operational outcome in the control record. If correction is no longer possible, offer collection or return through the carrier's actual procedure. Do not ask the employee to post a corrected address to the whole project team.

Before the first batch, agree on a practical end to each copy of delivery information. Ask which system deletes an address, which system retains an invoice and which keeps a carrier reference for a claim. They serve different purposes and may have different retention requirements. A supplier promising “we delete everything tomorrow” is not reassuring if it cannot explain how it will resolve a parcel already in transit. Have the privacy owner reconcile service support with applicable retention obligations and specify the evidence it expects when the agreed period ends.

When the invoice does not match the order

One of the most expensive discrepancies is an invoice that appears correct in total but names the wrong buyer. A parent company may sponsor an award, a local employer may purchase it, and a shared-service center may pay the vendor. Map those roles before the quote is accepted. Ask which entity books the expense, which receives the document, whether any intercompany recharge is planned, and who confirms local requirements. If those answers change after the goods arrive, preserve the first invoice and request a documented correction. Do not change the name in a copy of the supplier's document.

Separate goods, personalization, packing, delivery and any return charges in the quote if the supplier can identify them. This is not a prescription for how the invoice must be taxed; it gives the adviser enough information to understand the transaction. If the vendor quotes only one bundled price, ask how it handles partial cancellation. A returned cup does not undo a completed engraving service. Finance needs to know which amount can be credited and which amount remains part of the campaign cost. Do not assume a full refund from a delivery status labeled “returned.”

The is useful for a US sponsor preparing an initial discussion with its broker. It identifies declarations, invoices or pro forma invoices and supporting origin and transport documentation among the relevant documents. Treat that as a starting list, not as a determination that every form applies to every parcel. For a specific consignment, ask the named representative to identify which documents support this classification, this route and any preference actually claimed. If preference cannot be supported, do not invent an origin declaration to protect the original budget.

A release checklist that can survive a substitution

  1. Freeze the recipient category, buyer, funding entity and version of the offer. Keep employees and external recipients in separate decision records.
  2. Obtain the local employer's written payroll treatment or the recipient organization's acceptance decision, as appropriate. Record what changes require a new decision.
  3. Verify what personal data actually reaches each party and test refusal, address correction and non-delivery without giving unauthorized users access.
  4. For imported goods, obtain the named importer's acceptance and the broker's item-specific document list. Match it to the version packed, not yesterday's quote.
  5. Reconcile the item count, service charges and actual fulfillment outcomes. Give unresolved items an owner and a decision date rather than closing them as successful deliveries.
What if the Bulgarian tax or benefit classification remains uncertain?

Preserve the quote and the exact offer without issuing the invitation, promising a tax-free outcome or shipping goods. Send the local professional the fact pattern that is still disputed: relationship, purpose, funding, form of benefit and supplier documents. Ask what evidence could change the answer. If the response covers only office pickup, it does not automatically cover cash reimbursement or a different recipient group. When a narrower route is cleared, release only that route and keep the others visibly on hold.

Close the order with a decision somebody can defend

A practical reconciliation test starts with a single invoice line rather than a campaign total. Pick a personalized item that was returned to the Sofia office. Ask purchasing to identify the exact artwork version and any credit due; ask payroll which recorded event, if any, needs reconsideration; ask fulfillment whether the original parcel and the proposed replacement can both still move. A single red status flag cannot answer those three questions. Keep a reference to the old shipment even if a replacement is later authorized. Further examples of the separation between delivery data and control evidence are in the . That separation allows a manager to resolve the cost discrepancy without acquiring somebody's address book.

Before rolling out to another department, run a small tabletop exercise with the people who would actually operate the program. Hand payroll an example of an opted-out employee, give the broker a packing list with a supplier substitution and give support a returned parcel without disclosing a home address. Ask each owner to show where the current decision lives. The point is not to make a convincing presentation. It is to find the moment when someone must guess because another team holds the missing fact. Fix that handoff before increasing the batch size.

Evaluate results against decisions the team can influence. Count how many shipments were held before address collection because no importer had been named. Examine whether a wrong-entity invoice was caught before it entered the ledger. Track how many invitations were withdrawn after the supplier changed the offer. A low number is not necessarily better; it may mean exceptions were never recorded. Review a sample of holds and releases with the people who made them. That conversation tells you more about control quality than the number of parcels marked delivered.

For a broader design, the explains how to assign decision rights across markets. Keep the Bulgarian decisions local where they belong. A courier can confirm delivery, not an employee's tax position; a broker can advise on entry, not the client's acceptance policy. A good purchase file makes those boundaries visible long after the event organizer has moved on.

Once the Bulgarian owners have agreed the offer, receiving route and evidence they need, can help the team evaluate recipient choice and delivery tracking. The employer, tax adviser, privacy owner and importer still make their own decisions.
