The hardest part of a Vietnam corporate gift is not choosing a product. It is deciding which legal and operational path the particular transaction follows. A gift bought and handed over by a Vietnamese entity, a documented trade promotion, and a parcel sent from abroad to a named recipient are not interchangeable. This guide gives procurement, finance, logistics, and privacy teams a decision record they can use before placing an order. It is an operating framework, not an exemption certificate or individualized tax or legal advice; a qualified Vietnamese adviser and the relevant authorities must resolve the classification for a real shipment.

An unbranded gift, shipping carton, and blank document sleeve illustrate the need to classify a Vietnam gifting route before dispatch.

Begin with the transaction, not the word “gift”

Write down who owns the goods before transfer, where they are located, who will receive them, why the transfer is made, and whether the recipient provides consideration. These facts determine which questions to send to tax and customs advisers. A box described as a gift on a campaign brief may be a business promotion for one team, an employee benefit for another, or a cross-border import for the carrier. The description alone does not settle VAT, invoice, duty, recipient-tax, or privacy treatment.

Create a case identifier and a one-page decision record before a purchase order. The record needs the sending legal entity, local purchasing entity if different, payer, importer of record, planned transfer date, item description and quantity, value evidence, country of origin, recipient category, and data flow. Name the person who can approve the purpose and value; do not let the fulfillment vendor infer permission from an address file. If either product contents or recipient category is unknown, hold the order at review instead of using a default tax code. For perishable or regulated products, ask the broker whether product-specific permits or restrictions add another gate.

Use the to place this case within a governed gifting program, and the to decide when an address is actually needed. Neither general guide replaces this Vietnam transaction classification.

Vietnam's explained in a 2026 answer that the VAT taxable price for goods used as gifts differs from the treatment for promotions carried out under trade-promotion law. Its answer cites Article 7 of the VAT law and Article 6 of Decree 181/2025. For a genuine gift, the cited taxable-price rule refers to comparable goods or services at the time of transfer. For a promotion that actually complies with applicable trade-promotion law, a zero taxable price may be possible for specified forms. The Ministry expressly did not decide whether a particular dealer's promotion had satisfied trade-promotion filing duties; that question belonged to another authority. Treat the answer as a branching rule, not a promise that every zero-price campaign qualifies.

The legal basis has changed during the period relevant to a 2026 program. The government register lists , effective July 1, 2025; , effective January 1, 2026; , effective April 24, 2026; and , effective June 20, 2026, which amends the implementation decree. The register pages establish those dates and relationships, not the result for a specific SKU. Ask local tax counsel to inspect the operative consolidated provisions and the exact transaction date before approving a taxable value, input-credit position, or promotion classification. A draft amendment published for consultation is not itself an operative rule.

Invoice design must be checked separately from the VAT value. The Ministry's answer points to the invoice decree as amended in 2025 for gifts and promotions. The government register now also lists , effective July 1, 2026. Do not copy a 2025 invoice example into a late-2026 program without checking the current invoice framework and any transitional provisions. The local finance owner should document invoice issuer, transaction description, recipient information required by the approved method, timing, and the supporting schedule. A campaign manager should not choose a zero price on the invoice merely because the recipient pays nothing.

The useful decision is therefore two-dimensional: first, is this transfer a legally qualifying promotion or a non-promotional gift under the current facts? Second, what invoice and supporting-document method applies to that class and date? Taxable value and invoice format can be related, but they are not the same question. Record the legal reviewer, provision and version date, conclusion, and any conditions that would invalidate it. For example, if a program changes from customer samples to employee recognition, reopen the classification rather than reusing the promotional treatment.

Make the import path explicit before asking about duty relief

A parcel entering Vietnam introduces customs classification, valuation, importer identity, product admissibility, and potentially import taxes. The is the official customs authority's entry point. The government register identifies import/export-duty implementing , amended by and . These register entries establish the instrument chain, not this campaign's exemption eligibility or complete filing dossier. The sender, recipient and transaction facts still need local review; a business-to-employee parcel cannot borrow an unrelated exempt category.

Before shipment, the logistics owner should ask the customs broker for the product's proposed tariff classification, origin and valuation evidence, any license or inspection requirement, and the declaration path. Finance should identify who pays import duties, VAT, brokerage, storage, returns, and corrections. The commercial invoice or pro forma document must truthfully describe the item and value even when the recipient pays nothing. Carrier labels, procurement invoices, and customs declarations should reconcile to the same item identity and quantity. If the item's actual contents differ from the approved bill of materials, stop the label and reclassify.

Avoid using a universal “gift threshold” in the campaign template. A threshold mentioned on a procedure page may depend on the eligible recipient, frequency, value calculation, or document type; the procedure may also have been amended. Have the broker show the operative provision and route-specific evidence in writing. The acceptance test is a documented customs position for this shipment, not an unsupported value typed into a spreadsheet. If the broker cannot identify the importer or the supporting evidence, keep the order unshipped and offer a domestic-sourcing alternative.

The domestic alternative is not automatically cheaper or simpler. It can avoid an import into Vietnam for the finished gift when a local supplier owns and delivers the goods, but the local purchase and transfer still need VAT, invoice, procurement, and data review. Compare both routes using landed cost, delivery uncertainty, product suitability, address exposure, and who can issue and retain the required records. A global buyer may prefer a uniform item; a local finance team may prefer a supplier it can invoice and audit. Neither preference overrides a required legal determination.

Assign every document to an owner and an acceptance test

Use one evidence register per campaign, with a row for each distinct transaction class. The table below is a reusable field plan, not a statutory filing list. A local reviewer may add or remove documents after applying the relevant law and customs procedure. Keep document links in a controlled repository rather than pasting personal addresses into the campaign brief.

Last Verified records the official source-set check on October 14, 2026, not approval of a hypothetical campaign. Each case remains open until its named owner dates the actual evidence and reopens the row when the product, recipient or rule changes.

For each row, store the decision date, approving role, source link or document version, and reopening trigger. A tax opinion made for a domestic promotion does not silently authorize an imported employee gift. A customs classification for a ceramic cup does not authorize a later food bundle. Design the workflow to invalidate the earlier decision when the transaction facts change.

When can an exemption or zero taxable price be used?

Only after the responsible Vietnam tax or customs adviser identifies the operative provision, transaction class, eligible parties, supporting documents, and any conditions for this exact route. A promotional VAT treatment and an import-duty relief procedure are different tests. Neither follows from the word “gift,” a low declared value, or an unpaid recipient. Keep the written conclusion with the order and reopen it if facts or law change.

Handle recipient data at the moment it is needed

Vietnam's and its are both listed as effective January 1, 2026. These are sufficient reasons to include the privacy owner before transferring a recipient list, but their register pages alone do not establish the lawful basis or cross-border treatment for every gifting arrangement. Counsel must review whether the sender, local entity, platform, carrier, and support partner act as controllers, processors, or other parties under the actual arrangement and whether an impact assessment, notice, consent or other condition is required.

Design the campaign so an approved business purpose and eligibility token can travel before a residential address does. Ask for the smallest set of contact fields needed for an invitation. Collect shipping details only after the recipient has the information and choice appropriate to the program; separate the invitation record from the logistics label. Give a person a correction and support route without exposing the entire customer or employee record to a carrier. Record each transfer, purpose, retention rule, deletion request and exception. If an address is corrected after label generation, ensure the old label and carrier record are handled under the agreed process rather than silently overwriting the campaign row.

For international teams, ask where the data is accessed and stored, not just where the box travels. A Vietnam recipient address might be viewed by an overseas buyer, a regional support desk, a fulfillment platform, and a carrier. Identify each actor and the specific fields it receives. If the privacy review has not cleared an international access path, use a locally controlled collection and delivery option or pause. The provides a broader lifecycle model; the Vietnam legal determination remains local.

Worked decision one: a domestic customer promotion

Hypothetical case. A Vietnamese distributor wants to include a modest unbranded thank-you item with a qualified customer order. The marketing team calls it a promotion, the sales team says “free gift,” and finance needs to issue documentation. There is no import of the finished item because the distributor buys from a local supplier. The issue is not whether the recipient pays; it is whether the actual program follows the trade-promotion rules that support the proposed VAT treatment, and how the current invoice rules record it.

The sponsor first defines who receives the item, what purchase or event qualifies, the campaign period, the product, the total budget, and whether the recipient may decline. Marketing submits the exact mechanics and any notice or registration question to the appropriate local trade-promotion specialist. Finance asks its Vietnam adviser to distinguish a qualifying promotion from an ordinary gift using the then-current VAT law and implementation rules; it records the legal basis and the proposed invoice sample. Procurement obtains the local supplier's item invoice and confirms product specifications. Privacy reviews whether a delivery address is needed at all: if the item is handed over at the store, a residential address should not enter the campaign file.

Two routes remain open until those decisions are documented. If the program qualifies as a compliant promotion, finance may use the adviser-approved taxable-price and invoice path. If it does not, finance must analyze the ordinary-gift path rather than treating the item as zero-rated by convenience. A third route is to remove the gift or change the promotion design before launch. The tradeoff is real: a more complex promotion may offer a desired customer experience but require extra procedural work; a simpler non-promotional gift may be operationally easier but have a different tax cost. No one should promise the lower-cost route before qualification.

Run a ten-order pilot with only synthetic or properly authorized test records. Acceptance requires a signed classification, a correct sample invoice, a purchase-to-issue quantity reconciliation, opt-out handling, and no unapproved address export. A failed invoice test blocks the live campaign. If sales changes the eligibility condition mid-period, pause new gifts, classify the revised program, and keep the old and new evidence versions distinct. At close, reconcile items bought, gifted, unused, returned, and written off; finance resolves any difference before archiving the campaign.

Worked decision two: a cross-border employee recognition parcel

Hypothetical case. A regional employer outside Vietnam wants to recognize a Vietnam-based employee with a gift box shipped from abroad. The items are non-perishable, but the box mixes a ceramic desk object and branded apparel. The employer has an internal value ceiling and a recognition approval, yet no importer decision, itemized value evidence, or confirmed address-consent route. The logistics team wants to print labels immediately to meet a ceremony date.

The sponsor first confirms that the employee-recognition policy permits the recipient and value. HR and Vietnam payroll or tax advisers decide whether there are local employee-benefit consequences; this article does not determine them. Procurement provides a bill of materials with materials, quantities, origin, unit values, and supplier evidence. The customs broker checks classification, import restrictions, importer and payer responsibilities, applicable relief if any, and the document set. Finance calculates a landed-cost estimate that includes duty, import VAT if applicable, brokerage, storage risk and return cost. Privacy approves a notice and a recipient-choice channel before a home address is collected or transferred to the carrier.

The team compares two executable alternatives. Route A ships the foreign box only after the broker and advisers sign off. Route B buys a comparable approved item from a Vietnam supplier and uses local fulfillment. Route A may preserve the same recognition object across countries but is exposed to import delay and more complex document reconciliation. Route B may improve local lead time and address control but requires local product and invoice review and may not match the original item exactly. The employee is offered an appropriate decline or preference path; neither route assumes that recognition creates consent to share a home address.

Acceptance is not “carrier label created.” It is a complete file: policy approval, recipient choice, item list, broker's written route, importer and payer, accurate document values, privacy-approved handoff, shipment event, exception owner and finance closeout. If the broker flags the apparel composition or the parcel returns for missing paperwork, stop replacement dispatch. Correct the classification or documents, decide whether a domestic replacement is preferable, tell the recipient only what is necessary, and reconcile the original shipping and return charges. Preserve the old declaration and the corrected version; do not erase an exception merely because a second box arrives.

Choose an execution model without outsourcing the decisions

A local supplier, an internal team, a cross-border carrier, or a gifting platform can each execute part of this program. Compare them against the same facts: eligible recipient types, product controls, local invoice capability, broker coordination, address handling, support route, exception logging, and total cost. Do not give any option a numerical score unless evidence for every option is collected on the same basis. A local supplier may fit a one-country, fixed-product campaign best. An internal workflow may fit a small, infrequent program with strong finance capacity. A cross-border route may suit a distinctive item when broker and deadline risk are acceptable.

can be considered for governed gifting execution, recipient choice, and fulfillment coordination where its current commercial scope fits the planned route. Verify its actual Vietnam coverage, product options, data terms, export capabilities, and fees with the team before selection. It does not make a tax classification, decide an import exemption, act as employer payroll counsel, or substitute for the organization's privacy approval. The can help compare execution cost categories, but the actual contract and landed-cost evidence control a purchase decision.

Before any vendor receives live data, require a data-field map, a sample status export, an exception owner, a deletion/retention agreement, and a test showing that the order can be stopped before dispatch. Before the first real recipient, finance should be able to tie one approval to one order, one invoice method, one customs path if applicable, and one final expense. If this cannot be demonstrated, scale is premature even if the user interface looks polished.

Keep a dated source and change-control record

This guide's Vietnam legal-source check was last verified October 14, 2026, for the 2026 operating period. The source set is the Ministry of Finance's 2026 gift/promotion VAT answer; the government register entries for VAT Law 48/2024, amendments 149/2025 and 09/2026, implementing Decree 144/2026, electronic-invoice Decree 254/2026, and Personal Data Protection Law 91/2025 with Decree 356/2025; and the government register's import/export-duty Decrees 134/2016, 18/2021 and 182/2025. The source methodology separates a register's effective-date metadata from substantive legal interpretation. The Ministry answer provides a specific VAT branch but not a ruling on this campaign's trade-promotion filing, invoice after later 2026 changes, or customs relief. The decree register entries did not establish universal business-gift eligibility or a case-level filing dossier. Those are explicit gaps for the responsible local specialists, not blanks that a gifting operator should guess.

At each campaign approval, the local owner should re-open the primary sources, note the access date, and ask whether a later effective instrument or authoritative instruction changes the conclusion. A consultation draft is tracked as a possible change, not treated as law. Set reopening triggers for a new product, recipient class, trade-promotion mechanic, shipment direction, importer, data-transfer path, or legal amendment. Keep the source version alongside the decision so a later audit can see what was known at the time. If counsel disagrees with an older campaign's classification, stop replication, scope the affected orders, and determine any correction path before promising more gifts.

Conclusion: release a verified route, not a generic “gift”

A strong Vietnam gifting program can still feel simple to the recipient. The simplicity comes from doing the hard separation internally: transaction class, VAT and invoice method, import route, employer or customer policy, data flow, evidence owners, and exception recovery. Use a domestic-sourcing route when it better controls cost and timing; use a cross-border route when the item justifies its customs burden and documentation is ready. Neither route should go live on an assumed exemption or an uncontrolled address export.

If the program needs a coordinated execution layer after those decisions are made, is one option to evaluate against local suppliers and internal operations. Keep the Vietnam tax, customs, payroll, and privacy decisions with the qualified owners, and ask any execution partner to show how approved choices, delivery evidence, and exceptions remain visible.
